1. About these terms
These Terms of Service (“Terms”) apply to the website at bazeflix.co.uk and to services supplied by Bazeflix Ltd (“Bazeflix”, “we”, “us” or “our”). By using the website, you agree to the website provisions in these Terms. A services contract is formed only when both parties accept a written proposal, statement of work, order form or other written agreement.
If a signed agreement or accepted proposal conflicts with these Terms, that agreement takes priority for the relevant services. Nothing on this website is an offer capable of acceptance or a guarantee that we will take on a project.

2. Using our website
You may use our website for lawful, personal or internal business purposes. You must not:
- Break any law, infringe another person’s rights, or submit unlawful, harmful, misleading or malicious material.
- Attempt to gain unauthorised access, probe security, introduce malware, overload the site, scrape it at scale, or interfere with its operation.
- Copy, republish, sell or commercially exploit website content except as allowed by law or with our written permission.
- Misrepresent an affiliation with Bazeflix or use our brand in a way likely to confuse others.
We may change, suspend or withdraw any part of the website. We aim to keep it available and accurate but do not promise uninterrupted access or that every item will always be current or error-free.
Links to third-party websites and services are provided for convenience. We do not control and are not responsible for their content, availability, security or terms.
3. Services, proposals and delivery
The scope, deliverables, assumptions, timetable, fees, revision limits and acceptance criteria for a project will be set out in the relevant proposal or agreement. Estimates and target dates depend on timely client input and may change if the scope or assumptions change.
Unless otherwise agreed, reasonable review and testing are included only to the extent stated in the proposal. Deliverables are treated as accepted when you approve them in writing, use or publish them, or do not report a material non-conformity within the agreed review period.
We may use suitably qualified employees and subcontractors to deliver the services while remaining responsible for our contractual obligations.
4. Your responsibilities
You agree to provide accurate instructions, content, access, decisions and feedback reasonably needed to deliver the project. You are responsible for:
- Ensuring that materials you provide are accurate, lawful, appropriately licensed and do not infringe third-party rights.
- Obtaining releases, permissions and consents for people, locations, music, trademarks, data or other material you ask us to use, unless our proposal says we will obtain them.
- Maintaining backups of your own source material, credentials and systems.
- Reviewing deliverables and promptly reporting errors or requested changes.
- Protecting account credentials and notifying us of suspected unauthorised access.
Delays in providing required input may extend delivery dates and may result in reasonable rescheduling or additional charges where stated in the project agreement.
5. Fees, expenses and payment
Fees, payment stages, deposits, taxes and approved expenses will be set out in the relevant proposal or invoice. Unless stated otherwise, invoices are payable in pounds sterling by the due date shown.
If an undisputed amount is overdue, we may pause work after giving reasonable notice. We may charge statutory interest and recovery costs where permitted by the Late Payment of Commercial Debts (Interest) Act 1998. You must raise any genuine invoice dispute promptly and pay any undisputed portion on time.
Deposits and work already performed are non-refundable unless the relevant agreement says otherwise or the law requires a refund.
6. Changes, delays and cancellation
Either party may propose a change to scope. A change becomes binding when agreed in writing, including any adjustment to fees, deliverables or timetable. We are not required to begin additional work before the change is agreed.
Cancellation and notice terms are set out in the relevant proposal. If none are stated, either party may terminate services by written notice if the other commits a material breach and, where the breach can be remedied, fails to remedy it within 14 days after written notice.
On termination, you must pay for work completed, non-cancellable commitments and approved expenses up to the termination date. Clauses intended to survive—such as payment, confidentiality, intellectual property and liability—remain effective.
Neither party is responsible for delay caused by events outside its reasonable control. The affected party must notify the other and take reasonable steps to reduce the impact.
7. Intellectual property
Each party keeps ownership of materials, tools, methods, software, trademarks and know-how it owned or developed independently before the project (“background materials”). You grant us a licence to use materials you provide only as needed to perform the services.
Ownership or licensing of final deliverables will be stated in the project agreement. Unless it says otherwise, once all related invoices are paid in full, we assign to you the intellectual-property rights we own in bespoke final deliverables, excluding:
- Our background materials, reusable code, techniques, templates, processes and know-how.
- Third-party materials, fonts, stock assets, plugins and open-source software, which remain subject to their own licences.
- Unused concepts, drafts, project files and working materials unless expressly included.
We grant you a non-exclusive licence to any of our background materials embedded in a paid final deliverable, solely as necessary to use that deliverable for its intended purpose.
Unless you ask us in writing not to, or confidentiality obligations prevent it, we may identify you as a client and display public-facing work in our portfolio, credentials and awards submissions after it has been made public.
8. Confidentiality and privacy
Each party must protect the other’s non-public confidential information, use it only for the project, and disclose it only to people who need it and are bound by suitable obligations. This does not cover information already lawfully known, independently developed, publicly available without breach, or lawfully received from a third party.
If disclosure is legally required, the receiving party may disclose the minimum necessary and, where lawful, will give prior notice. Our handling of personal information is described in our Privacy Policy. Where a project requires us to process personal data on your behalf, the parties will agree any additional data-processing terms required by law.
9. Warranties and liability
We will provide services with reasonable care and skill. If we materially fail to do so, you must notify us promptly and give us a reasonable opportunity to correct the affected work.
To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, revenue, anticipated savings, goodwill, opportunity or data. Our total aggregate liability arising from a project will not exceed the fees paid or payable to us for that project in the 12 months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Nothing in these Terms affects mandatory consumer rights. If you contract with us as a consumer, any limitation applies only to the extent the law permits.
We are not responsible for faults caused by client or third-party materials, unauthorised changes, failure to follow instructions, or third-party platforms and services outside our reasonable control.
10. General terms
- Notices. Formal notices may be sent to the email or postal address stated in the project agreement. Notices to us may also be sent to hello@bazeflix.co.uk.
- Assignment. You may not transfer a services contract without our prior written consent. We may transfer it as part of a genuine sale or reorganisation of our business, provided your rights are not reduced.
- No partnership. Nothing creates a partnership, joint venture, employment or agency relationship between the parties.
- Entire agreement. These Terms and the accepted project documents form the entire agreement about their subject matter and replace earlier discussions or representations, except in the case of fraud.
- Severability. If a provision is invalid or unenforceable, the remaining provisions continue in effect.
- No waiver. A delay in exercising a right does not waive that right.
- Third-party rights. A person who is not a party has no right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
Governing law
These Terms and any non-contractual disputes are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law allows you to bring proceedings elsewhere.
Changes to these Terms
We may update the website provisions of these Terms from time to time. The date at the top shows the latest revision. Changes to an existing services contract apply only when agreed as required by that contract or by law.
